Special reports and drafts of Articles of Association amendments
This section collects all the special reports intended in the ‘Wetboek van Vennootschappen’ (W.Venn. or Company Code). This includes Board of Director (BoD) reports drawn up in the following cases:
- for the proposal to dissolve the company (Art. 181, § 1 W.Venn.)
- for a quasi contribution in kind (Art. 447 W.Venn.)
- for a proposal to amend the purpose of the company (Art. 559 W.Venn.)
- for a proposal to amend the rights linked to various types of shares or stocks (Arts. 560 and 612 W.Venn.)
- for the issuance of shares without statement of nominal value below the fractional value of the old shares of the same type (Art. 582 W.Venn.)
- when deciding upon the issuance of convertible bonds or warrants. (Art. 583 W.Venn.)
- should the preferential right be restricted or abolished (Arts. 596 and 598 W.Venn.)
- should a capital increase encompass a non-monetary contribution (Art. 602 W.Venn.)
- should the Board of Directors propose to the General Meeting that it assign it the authority to increase the capital or to renew the authority (Art. 604 W.Venn.)
- if a General Meeting must be called because the net assets have declined to less than half (Art. 633, second paragraph W.Venn.) or to less than a quarter of the authorised stock (Art. 633, fourth paragraph W.Venn.)
- upon merger through a takeover (Art. 694 W.Venn.) or through the establishment of a new company (Art. 707 W.Venn.)
- through division because of a takeover (Art. 730 W.Venn.) or through the establishment of new companies (Art. 745 W.Venn.)
- by the contribution from a universality or a sector (Art. 761 W.Venn.)
- with a proposal for conversion of the type of company (Art. 778 W.Venn.)
